Terms of Service

  • Article 1 (Scope and Changes of These Terms)

    These Terms apply to all matters between the Company and Members arising from the use by Members of the services provided through the Company's EC e-commerce site (the "Site" and the "Service"), where "Company" refers to BALANCE Co., Ltd., and "Members" are defined in the following article.

    These Terms set forth the rules for Members, including registration, eligibility, operating rules, and manners. The Company may add or amend provisions of these Terms without Members' consent. Members agree to any additional or amended operating rules or other provisions presented by the Company online or by other means, and such additions or amendments shall form part of these Terms. Matters concerning product purchases (applications, payment methods, etc.) shall be governed by Article 4.

  • Article 2 (Definition of Members)

    Members are those who apply for membership upon agreeing to these Terms and are approved by the Company.

  • Article 3 (Membership)

    Applicants wishing to register as Members shall enter the required information on the new registration page on the Site. At the time of application, the applicant is deemed to have agreed to these Terms. The Company shall approve membership applications except in the following cases.

    1. The applicant has previously been stripped of membership status under these Terms. 2. The application contains false information. 3. The Company otherwise deems the applicant inappropriate as a Member.

  • Article 4 (Purchases and Returns)
    • 1. Purchase
      Members may purchase products using the Service. When purchasing products, Members shall apply for purchase in accordance with the method designated by the Company. A sales contract for the product shall be concluded between the Member and the Company at the time the Company sends an email to the Member indicating acceptance of the application. However, if there has been fraudulent or inappropriate use of the Service (such as excessive orders or cancellations beyond normal common sense), or if the Member cannot be confirmed to have received the product due to refusal of receipt or extended absence, the Company may, at its discretion, cancel or rescind the sales contract or take other appropriate measures.
    • 2. Payment Methods
      For credit cards: Payment shall be made with a credit card in the Member's own name. The terms of credit card payments shall be governed by the separate agreement between the Member and the credit card company. Any disputes between the Member and the credit card company shall be resolved by those parties, and the Company assumes no responsibility. Delivery of products is deemed complete when the product is delivered to the shipping address specified at the time of order.
    • 3. Returns
      If a Member returns a product in a manner that does not comply with these Terms and the "Act on Specified Commercial Transactions" notice on the Site, the Company will re-ship the product to the Member. If the Member refuses to receive the returned product and it is returned to the Company, the Member is deemed to have abandoned ownership of the product at that time, and the Company may dispose of the product after one month. Returns of ordered items (including sale items) are not accepted except for defective items. If a defective item in an order (including sale items) is to be exchanged but no stock is available, the Company will process a return. Cancellations and returns/exchanges after order completion for ordered items (including sale items) are not accepted.
    • 4. Exchanges
      Exchanges for Member convenience cannot be accepted. However, in the case of defective products or misdelivery, exchanges will be accepted only for the same product. In such cases, Members shall report the issue in the manner specified in the "User Guide" on the Site. If replacement stock is unavailable, the Company will process a return.
  • Article 5 (Management of ID and Password)

    After approval of membership, Members may use the registered ID and password, and are responsible for their management. Members may not assign, change the name of, sell, or lend their Member ID or password to any third party. The Company shall not be liable for any damages incurred by Members due to negligence in the use of their Member ID or password, or due to use by third parties (including unauthorized use).

  • Article 6 (Registered Personal Information)

    If any change occurs in the Member's address, name, telephone number, or other information registered with the Company, or if the Company requests additional registration information, the Member shall promptly complete the procedures in the manner specified by the Company. Information registered by Members will be strictly managed by the Company as personal information. The Company shall not correct or change personal information without the Member's consent.

  • Article 7 (Prohibited Acts)

    The Company prohibits Members from engaging in the following acts when using the Service.

    1. 1. Acts that violate public order and morals or laws and regulations.
    2. 2. Acts that lead to crime.
    3. 3. Acts that infringe copyrights or other intellectual property rights of other Members or third parties.
    4. 4. Acts that defame or slander other Members or third parties, or otherwise damage their honor.
    5. 5. Acts that infringe the property or privacy of other Members or third parties.
    6. 6. Acts that cause disadvantage to other Members or third parties.
    7. 7. Acts that interfere with other Members' use of the Service.
    8. 8. Acts that interfere with the Company's operations (such as tampering with information or input/sending viruses).
    9. 9. Acts for commercial purposes not approved by the Company.
    10. 10. Any other acts the Company deems inappropriate.
  • Article 8 (Interruption or Suspension of Service and Changes to Content)

    The Company may, without prior notice or consent from Members, temporarily interrupt or suspend all or part of the Service, or make changes, additions, or deletions in the following cases.

    1. 1. When emergency maintenance is required due to system trouble, etc.
    2. 2. When services of Type I (telephone companies, etc.) or Type II telecommunications carriers (providers, etc.) are not provided.
    3. 3. When the Service cannot be provided due to fire, power outage, natural disasters (earthquakes, volcanic eruptions, floods, tsunamis, etc.).
    4. 4. When the Service cannot be provided due to man-made disasters (war, riots, disturbances, labor disputes, etc.).
    5. 5. In other cases deemed necessary by the Company.

    Even if the above events occur and cause disadvantage or damage to Members, the Company shall not be liable. This also applies when Members suffer disadvantage or damage due to undelivered emails from the Company caused by Members' internet or mobile device environments.

  • Article 9 (Ownership of Copyrights, etc.)

    All copyrights, trademark rights, and other intellectual property rights in the information and designs posted on the Site belong to the rightful copyright holders of the Company, and Members shall have no rights to such intellectual property.

  • Article 10 (Member Responsibility)

    The Company shall not be liable for any damage suffered by Members from use of the Service. If Members cause damage to third parties through use of the Service, Members shall resolve such matters at their own responsibility and expense and shall not cause damage to the Company. If Members cause damage to the Company through improper or unjust means or methods, Members shall be liable for damages to the Company.

  • Article 11 (Suspension or Revocation of Membership)

    If a Member falls under any of the following items, the Company may, without prior consent from the Member, suspend use of the Service or revoke the Member's status.

  • 1. If the Member ID or password has been used improperly.
  • 2. If false information was included in the membership application.
  • 3. If the Member tampered with or improperly used information on the Site or otherwise intentionally obstructed operations.
  • 4. If the Company determines that the Member's status is inappropriate and revocation is necessary.
  • 5. If it is found that the Member has previously been subject to cancellation of registration due to violations of these Terms.
  • 6. If there is a delay or other default in fulfilling payment obligations related to the Service.
  • 7. If an attachment, provisional attachment, provisional disposition, compulsory execution, or bankruptcy petition is filed against the Member, or if the Member files for bankruptcy or civil rehabilitation.
  • 8. If the Member otherwise violates these Terms.
  • Article 12 (Withdrawal)

    Members may withdraw at any time by completing the prescribed procedures.

  • Article 13 (Suspension of Business)

    The Company may suspend all or part of its operations or business without the Member's consent.

  • Article 14 (Agreed Jurisdiction)

    If litigation becomes necessary between the Member and the Company regarding these Terms, the Tokyo District Court shall be the agreed court of jurisdiction.

  • Article 15 (Governing Law)

    These Terms shall be governed by and construed in accordance with the laws of Japan.
